Board of Directors Meeting Minutes – March 1, 2016

In attendance were John Dubinsky, President, presiding; Alison Ferring, Jacque Land, Nina North-Murphy, Keith Savage, and Thomas F. Schlafly.

Also present were Executive Director Waller McGuire and staff members Barry Berry, Gerald Brooks, Diane Freiermuth, Cathy Heimberger, Barbara Henderson, William Jackson, Kathy Leitle, John Newcomer, Ed Witkowski, and Lisa Wolfe; John Fox Arnold, Lashly & Baer; Liz Reeves, Library Foundation; and Katrina Stierholz, Federal Reserve Bank of St. Louis.

Mr. Dubinsky called the meeting to order at 5:36p.m. without a quorum.

Public Comment:

Katrina Stierholz introduced herself as a Vice-President of the Federal Reserve Bank of St. Louis and a Library patron.

Communications: 

Mr. McGuire presented a copy of a story about homeless patrons at Central Library that was on KMOX and his response to the story.

Mr. Dubinsky stated that the several Library staff members are scheduled to testify at a hearing about the New Life Evangelistic Center (NLEC). Mr. Arnold reported that the date for the hearing was for March 10, but that MLEC had asked for an extension. If it is granted, the dates would be either March 24 or March 31.

President's Report:

Mr. Dubinsky stated that there would be an Executive Session after the regular Board Meeting.

Executive Director's Report:

Mr. McGuire highlighted a few items from his January report including a Grants & Foundations program, the success of adult coloring programs, and the completion of updates to the wireless network in the Branches to equal Central's standards and mostly funded through E-rate program.

(Mr. Savage arrived at 5:41 p.m. and established a quorum.)

Mr. Berry presented the HR report.

(Ms. North-Murphy arrived at 5:44 p.m.)

Mr. Jackson presented the Finance report.

Minutes: 

Ms. North-Muprhy's motion to approve the minutes of the February 1, 2016 Board Meeting, seconded by Mr. Savage, was approved.

(The Executive Director's Report was resumed.)

Ms. Reeves presented the Foundation report stating that the press release about the completion of the Capital Campaign had been picked up by several news sources, that the Friends reception for Sonia Sanchez was a great success with several local poets attending, and that the closing of the Capital Campaign celebration dinner for both the Library and Foundation Boards was scheduled for April 3.

New Business:

Mr. Jackson reported that the Financial Audit has been completed and a draft for the final report was included in Board packets. He asked that if Board members have any questions about the draft to send them to him, to Mr. McGuire, or to Mr. Dubinsky before the Fiscal Affairs Committee Meeting on March 29.

Unfinished Business:

Mr. McGuire discussed the continuing progress on Strategic Planning. He has set up five teams of eight staff members, one team for each goal, to review the goals and the objectives. He has met with the team leaders and each team will meet twice then write up a report for him. He asked that Board members review the goals and objectives and send him any additional comments. These documents will be used to refine the goals and objectives.

The Library Foundation's Executive Committee has agreed to work on fundraising to meet the Strategic Goals. the approved Library budget for the current fiscal year may also require some adjustments to begin meeting these goals.

Mr. Savage's motion to go into Executive Session, seconded by Ms. Ferring, was approved by a unanimous vote. The regular Board Meeting ended at 6:27p.m.

At the regular meeting of the Board of Directors of the St. Louis Public Library on March 1, 2016 the following actions were taken:

Ms. North-Murphy moved: that the Board approve the minutes of the meeting of February 1, 2016. MOTION APPROVED (In favor Mr. Dubinsky, Ms. Ferring, Mr. Land, Ms. North-Muprhy, Mr. Savage, and Mr. Schlafly.)
Mr. Savage moved: that the Board go into Executive Session. MOTION APPROVED (In favor Mr. Dubinsky, Ms. Ferring, Mr. Land, Ms. North-Muprhy, Mr. Savage, and Mr. Schlafly.)
